Virtual Office Agreement
What you're agreeing to with a virtual office.
It covers the address, your mailbox number, the form the Post Office needs, and what we can and cannot do with your post. It is not a membership — it does not give you the right to use the Space. Questions before you sign: hello@thecolabexeter.com.
Version 1.7 · October 8, 2026
1. The parties, and what this is
This Virtual Office Agreement ("Agreement") is between you, the customer named at the end of this Agreement ("you"), and The Colab, LLC, a California limited liability company ("The Colab," "we," "us"), which operates the building at 122 South E Street, Exeter, CA 93221 (the "Space"). It takes effect on the date you accept it.
This Agreement is for a business address, mail service and access to collect your mail. It is not a membership. It does not give you the right to work here, to use a desk, the table, the rooms or the patio, or to have guests or clients meet you here. Members have a separate agreement, and everything beyond collecting your own mail is something a membership covers and this does not.
The Terms of Service and the Privacy Policy are part of this Agreement. If this Agreement and the Terms ever say different things, this Agreement wins for virtual office customers.
2. What you get
For $29 a month you get:
- Our street address, 122 South E Street, Exeter, CA 93221, as your business address, with your own mailbox number.
- Mail and packages received and held for you.
- A text message when something arrives.
- A door code of your own, so you can collect your mail at any hour.
- 10% off room bookings and venue rentals.
How you get your code. When you sign up we email you a temporary code that works for 72 hours, so you can collect your mail straight away. Inside those 72 hours, come in and see one of us: you choose a permanent code of your own at the keypad, and you can add a fingerprint if you would rather not type it. We write down which keypad entry is yours so we know whose code it is. The temporary code stops working after 72 hours whether or not you have been in — if it runs out before you get here, ask us and we will send another.
Your door code is yours alone. Do not give it to anyone, do not let anyone else in on it, and tell us straight away if you think somebody else has it. It lets you in to collect your mail and for nothing else. We can change it or withdraw it if it is shared, if it is used for anything other than collecting your mail, while your access is suspended for non-payment (article 7), or if this Agreement ends.
The building is closed when The Colab is rented. We rent The Colab — every room upstairs — for private events, and while one is on the building is closed to you, including the mailboxes. We will email you when an event is booked and again on the morning of it, and both emails name the hours. Your code will still open the door during those hours; we are asking you not to use it. The Patio is rented separately. A hire of The Patio on its own does not close the building and does not affect your mail, so we do not email you about it.
It does not include a desk, a place to work, meeting room time, mail forwarding, or anyone signing for deliveries that require a signature from you personally.
3. Your mailbox number
When your first payment is received we reserve a mailbox number for you and email you Form 1583, prefilled with our details, that number and the details you gave us. Your mail service starts only after we have reviewed your signed form, your two forms of identification and how it was signed, and confirmed your virtual office; we then email you your full mailing address. Until then we cannot accept mail for you. The number is yours for as long as this Agreement runs.
Your mailbox number has to appear on everything sent to you here. The Postal Service treats an address like ours as a commercial mail receiving agency, and post addressed to the building without your mailbox number can be refused or returned. That is a rule set by the Postal Service, not by us, and we cannot waive it.
So the address to give people is our street address followed by PMB and your number — the email that carries your number sets it out the way it has to be written.
4. Form 1583 and identification
Before we may take delivery of anything for you, the Postal Service requires PS Form 1583 from you. We email it to you already filled in with our details.
Before The Colab can accept mail for you, you must complete PS Form 1583, provide the required identification — two forms of identification, one with a photograph and one showing your home address — and sign or confirm the signature in the physical or real-time audio-and-video presence of The Colab or an authorized employee, or acknowledge the signature in the physical or real-time audio-and-video presence of a notary public commissioned in the United States. The simplest way is to come in and do it with one of us. We check your identification against the form and keep the form and copies of the identification on file, which the Postal Service requires us to do.
In our own systems we record which two documents you showed, not the numbers on them. The signed form and the copies we keep on file carry what the Postal Service requires. What we hold and why is set out in the Privacy Policy.
Until the completed form and identification have been verified and recorded, we cannot accept post for you. Your subscription starts when you pay, so it is worth doing early. Tell us if you need to arrange a time — (559) 594-8008.
If any of the details on the form change — your name, your business name, your home address — tell us and sign a new one. The Postal Service requires the form on file to be current.
5. What the address may and may not be used for
You may use the address as the business address for the business you named when you signed up: on your website, on invoices, on business cards, and in filings that ask for a mailing address.
You may not:
- Use it as a residential address, or state or imply that you live here.
- Use it for a business other than the one you named, or let anyone else use it, without telling us and signing a form for that person or business.
- Use it in connection with anything unlawful, or to receive anything you are not lawfully entitled to receive.
- State or imply that you have offices, staff or a place of business here beyond the address service this Agreement provides.
If a legal requirement applies to how you present the address in your own state or industry, meeting it is yours to do. We are not able to advise you on it.
6. Mail we hold, and mail we cannot take
We receive letters and ordinary parcels and hold them for you to collect. We text you when something arrives, and your door code lets you come for it at any hour, except while the building is closed for a private event (article 2).
Please collect your post at least monthly. If post waits a long time, we will contact you to arrange collection. We do not return or dispose of your post just because it has been here a set number of days.
We cannot accept:
- Anything requiring a signature from you personally, or an age check, or payment on delivery.
- Perishables, live animals, plants, anything hazardous, and anything that leaks, smells or is visibly damaged.
- Items larger than we can safely store, or more than we have room for.
- Anything addressed to a person or business that is not on your form.
We do not open your post, and while your virtual office is active we do not forward it. We are not a courier and we cannot take responsibility for anything a carrier fails to deliver to us.
If someone else is to collect on your behalf, tell us in writing beforehand, and they must be named on your Form 1583.
7. What you pay
$29 a month. The first month is charged when you sign up and each month afterwards on the same date, by the card you gave at checkout. It renews every month until you cancel. Payments are handled by Stripe; we never see or hold your card details.
Your saved card. When you pay for your virtual office, our payment processor, Stripe, securely saves the card you pay with to your account with us. We never see or store your full card number. You authorize The Colab to charge that card for the payments this Agreement already describes, and amounts due under article 9, after the statement and response process described there. We will not use it for anything else without asking you first.
This authorization lasts until 90 days after this Agreement ends, and longer only for a damage statement sent within that time and still open. You can ask us at any time to stop using a saved card for damage. If you do, any later amount is requested by payment link instead.
Prices can change. We will tell you at least 30 days before a change takes effect, and you can cancel before then if you would rather not pay the new price.
If a payment fails we will tell you, and our payment provider will try the card again automatically. From the first failed payment until the amount is paid, your virtual office door access is suspended: we switch off the door code this Agreement gave you and clear any fingerprint you enrolled for it; a fingerprint is enrolled again at the keypad with one of us. This Agreement stays in force, the amount is still owed, and we keep accepting and handling post addressed to you; contact us and we will arrange for you to collect it. Any access you hold another way, such as a membership, is not affected. Updating your card does not by itself restore access; we switch it back on when the payment goes through.
If our payment provider has cancelled your billing for non-payment and this Agreement has not yet ended, you can resume it at the same price, under this Agreement and with the same mailbox, by asking us and authorizing the monthly payments to start again. Before you confirm, we show you the price and the date of the next charge. The payment that failed is still owed; we do not charge for the time after the period it covered and before you resume. Once this Agreement has ended, you would sign up again.
8. Ending it
You can cancel at any time, online and by yourself, from your account page at https://thecolabexeter.com/virtual-office/account/ — the same place you change your card. Sign in with the email address on your virtual office and we will send you a link; there is no password. If you would rather tell a person, email hello@thecolabexeter.com or ring (559) 594-8008 and we will do it for you. Cancelling stops the next payment: your service runs to the end of the month you have paid for and is not renewed, and we do not refund part of a month.
We can end this Agreement on 30 days' notice. If you breach article 5 or use the address unlawfully, our authorized approvers can end it with effect when our notice is delivered to the email address on your account, or at a later time the notice states; an email that cannot be delivered is not notice.
If a payment stays unpaid after our payment provider's final automatic attempt, we may give you at least 30 days' written notice that this Agreement will end on a stated date. It continues if, before that date, you pay what is owed and your billing is successfully resumed (article 7). Our payment provider cancelling your billing does not by itself end this Agreement, and what we do with your post after it ends still applies.
If we end this Agreement because of your conduct, we may also decline future memberships, virtual offices, day passes or bookings from you. That decision is made for you individually by our authorized approvers, and is recorded with its scope and a date when it will be reviewed. You can ask us to review it at any time by writing to hello@thecolabexeter.com. It does not change what either of us owes the other for payments, refunds or your post.
When it ends, your mailbox number is never given to anyone else. If you are also a member, your mailbox stays open while your membership continues. Otherwise, for the period the Postal Service requires (currently at least six months), we keep accepting post addressed to you and re-mail it, at our cost, to the forwarding address you give us, usually once a week. We may ask you to collect a large parcel instead. Until you give us an address, we hold your post for you to collect. After that period, post that still arrives for you is handled as the Postal Service requires for a former customer. Change your address with everyone who writes to you before the last day; we cannot tell a sender where you have gone. Neither of us files a change-of-address order with the Postal Service for this address.
Your signed Form 1583 and the identification copies are kept after the service ends for as long as the Postal Service requires, and then destroyed.
When this Agreement ends, we switch off your door code and clear any fingerprint you enrolled, and your mailbox is closed. Collect anything still here before it ends; post that arrives afterwards is handled as described above.
9. Responsibility and limits
We look after your post carefully, but we are not an insurer of it. We are not responsible for loss, delay, damage or theft of anything sent to you, whether it happens in the post, in transit, or here.
Do not have anything sent here that you could not afford to lose. Valuables, cash, original documents you cannot replace, and anything you would insure — send those somewhere you can sign for them.
To the extent the law allows, our total liability to you under this Agreement, for anything and for any reason, is limited to the amount you have paid us in the three months before the claim arose. We are not liable for lost profits, lost business or other indirect losses.
Nothing in this Agreement limits anything that cannot lawfully be limited.
Damage to the Space
Your responsibility. Normal wear, and minor mishaps that leave nothing needing repair or replacement (a spill that wipes up, an ordinary scuff), cost you nothing. If you, or anyone you bring in, cause damage beyond normal wear, you are responsible for the reasonable, documented cost of repairing it, even if it was an accident. Where repair is not reasonably practical, we may charge a reasonable replacement cost that accounts for the item’s age and condition.
The statement. We document damage with dated photographs and a written explanation, and an owner reviews the evidence. We then email you an itemized statement showing the amount, the reason, the evidence, a link to pay, how to contact us with questions or to dispute, and the response date. We do not charge for pre-existing damage, ordinary wear, or damage where responsibility is unclear.
The response date. The response date is 14 calendar days after the statement is delivered, counted in Pacific time. A statement is delivered when it is sent to the email address on your account and is not returned as undeliverable. If it is returned, we send it another way, and the 14 days start again from when that delivery is made.
Paying early. You can pay at any time before the response date using the link in the statement. If you do, nothing further is charged.
Automatic payment. If by the response date you have neither paid nor disputed the statement, we will charge the stated amount to your saved card on or after that date. At least 3 days before the charge, we email you a reminder with the amount and the date. We email you a receipt after it. If no card is saved, or the charge is declined or needs your authorization, we email you a payment link instead, payable within 14 days. Not responding does not mean you agree with the charge or give up any rights.
Disputes. To dispute, reply to the statement email, email us or call us before the response date. While we review it, we will not charge your card or send payment requests or reminders. We then email you our findings. If we find you are not responsible, the statement is cancelled and nothing is charged. If we find you responsible for a lower amount, the original statement is cancelled and we send a revised statement for that amount. Only the amount we find due is charged, on the later of the original response date or 7 days after we send our findings. If that would give you less than 3 days’ notice, the charge date moves so you get the full reminder.
After a payment or charge. You can still dispute a damage payment within 60 days after it is made, in the same ways. If we find any amount was charged incorrectly, we refund it to the card within 10 business days of our findings. This does not affect any rights you have with your card issuer.
No double charges. Each statement is collected once. Paying early cancels the automatic payment, and a revised statement replaces the original.
10. General
This Agreement is governed by the laws of the State of California, and is the whole of what we have agreed about the virtual office.
We may change the wording of this Agreement. A change applies from the date we tell you about it, and we will email you at the address on your account. If a change materially reduces what you get, you can cancel under article 8 without penalty.
When this Agreement gives a number of days' notice, we count calendar days in Pacific time, starting the day after the notice is delivered to you. The change or ending takes effect no earlier than the start of the day after the last day of notice.
You may not transfer this Agreement to anybody else. We may transfer it if the business is sold, on the same terms.
If any part of this Agreement turns out to be unenforceable, the rest of it stands.
Questions before you sign: hello@thecolabexeter.com or (559) 594-8008.
11. Acceptance
Typing your name on the sign-up form is your electronic signature and has the same effect as signing on paper. It records that you have read this Agreement, version 1.7, and agree to it.
We email you a copy of the full text as it stood when you accepted. Keep it — it is the record of what you agreed to, and it does not change when this page does.
Questions about any of this: hello@thecolabexeter.com, or call (559) 594-8008.
